04
Our role as a marketplace
Oribrix operates a marketplace that connects Customers with independent Vendors. Unless expressly stated otherwise:
- The Vendor is the seller of record and is responsible for the quality, specification, quantity, and legality of the materials supplied.
- Oribrix facilitates discovery, ordering, payment, logistics coordination, invoicing support, and dispute handling, but does not manufacture or own the materials listed.
- Oribrix is not itself liable for an underlying product defect except where required by applicable consumer protection law (see the Return & Refund Policy).
05
Eligibility and accounts
Eligibility. The Platform is intended for business use and is not directed at individuals under 18. You must be legally capable of entering into a binding contract under Indian law.
Account registration. You must provide accurate and current information, including name, phone number, email, and (where applicable) company name, GSTIN, registered business address, and Site details. Account access is secured through password and/or OTP verification.
Vendor KYC. Vendors must complete manual KYC verification by submitting business registration, GST/PAN, and other required documents. Oribrix may approve, reject, or request further information at its discretion, and may re-verify at any time.
Team members. Account holders may add Authorized Team Members with defined roles. You are responsible for all actions taken through your account, including by your team members, and for keeping credentials confidential and unique. Notify us promptly of any suspected unauthorized access.
Accuracy of information. You are responsible for keeping your account, Site, and tax details up to date. Incorrect GSTIN or address details may affect invoices, delivery, and refunds.
06
Ordering
Catalog Orders. Product listings show price, availability, and an estimated delivery time. An Order is placed when you complete checkout and is subject to Vendor acceptance as described in the Cancellation Policy.
RFQs and Purchase Orders. For bulk, special-case, or non-catalog requirements, you may raise an RFQ and attach supporting notes or documents. Quotations, pricing, delivery timelines, and any additional terms agreed in a quotation apply to the resulting Purchase Order. Once a Purchase Order is confirmed and accepted by the Vendor, it is binding on both parties subject to the Cancellation Policy.
Vendor acceptance and rejection. Vendors may accept or reject an Order. A Vendor may cancel or partially cancel an Order if confirmed stock is unavailable. In such cases you will be offered a consented substitution or a refund for the unavailable items.
Pricing and listing accuracy. Vendors are responsible for the accuracy of prices, specifications, grades, and availability. Oribrix may correct or remove listings that are clearly erroneous.
07
Payments, credit and invoicing
Payment processing. Online payments are processed through PhonePe under its own terms and privacy policy. Oribrix does not receive or store your full card or UPI credentials.
Account credit and payment terms. Where Oribrix has approved account credit or credit-term payment for your account, those terms (limits, due dates, and any applicable charges) are as communicated to you at approval. Oribrix may modify or withdraw credit or payment-term privileges where misuse, delayed payment, or a pattern of excessive cancellations is suspected. Credit terms, limits and late-payment charges are to be confirmed.
Cash on delivery. Where cash-on-delivery is offered, it is available at Oribrix’s discretion and may be restricted for specific accounts or Orders. Availability, order value limits, and other conditions for cash-on-delivery may vary and will be shown at checkout.
Invoices and taxes. Oribrix generates GST-compliant invoices and statements. You are responsible for providing a correct GSTIN and for any taxes applicable to your purchase. Invoice and transaction data may be synced with Tally for accounting and GST reconciliation.
Vendor settlements. Vendor payouts are made per the agreed settlement cycle and are subject to adjustment for refunds, returns, disputes, and agreed fees or commissions. The settlement cycle and commission structure are to be confirmed.
08
Delivery
All deliveries are coordinated exclusively through Porter. The Shipping & Delivery Policy sets out the full terms; in summary:
- Delivery is available only to Sites within serviceable zones. Live availability and an estimated delivery time are shown before checkout. If a Site is outside a serviceable zone, you may raise an RFQ for special-case delivery.
- Standard catalog Orders typically show an estimated delivery window of around 60 minutes from order confirmation. RFQ, bulk, and Purchase Order timelines are confirmed in the quotation.
- You can track an Order through the stages Vendor Processing, Packing, Driver Assigned, In Transit, and Delivered.
- Delivery charges are as stated in the Shipping & Delivery Policy. The delivery-fee structure is to be confirmed.
- Delivery is confirmed by photo proof of delivery and, where applicable, in-app confirmation. Inspect materials at handover.
- You are responsible for reasonable vehicle access to the Site and, for bulk or heavy materials, unloading assistance unless the Vendor’s listing states unloading is included.
- Failed deliveries caused by no authorized person being available may lead to re-delivery attempts, additional charges, or cancellation and refund. The number of attempts and charges are to be confirmed.
- Delivery estimates are not guarantees and may be affected by traffic, weather, or site accessibility.
09
Cancellations
The Cancellation Policy applies. In summary:
- Before Vendor acceptance: free cancellation with a full refund or reversal of credit.
- After acceptance, before dispatch: subject to Vendor confirmation; a restocking or partial cancellation fee may apply (to be confirmed).
- After dispatch: cancellation through the app is no longer possible. You may refuse delivery and follow the Return & Refund Policy; additional logistics charges may apply.
- RFQ/Purchase Orders: free cancellation before the Purchase Order is confirmed; after that, the Cancellation Policy and the terms agreed in the quotation apply.
- Oribrix may review accounts with unusually high cancellation patterns and restrict certain ordering privileges.
10
Returns and refunds
The Return & Refund Policy applies. In summary:
- Eligible reasons: damaged or defective products, products not matching the confirmed specification, grade or quantity, products materially different from the listing, or a quantity shortfall.
- Non-returnable items: cut, mixed, or customized materials, bulk or loose materials accepted and signed for (unless a quality issue is reported within the return window), and items marked non-returnable, except where an eligible reason above applies.
- Reporting window: within 48–72 hours of delivery (to be confirmed) through “Report an Issue” in the Customer app, with photo or video proof. Issues discoverable only on use must be reported as soon as reasonably possible after discovery.
- Review: requests are routed to the Vendor and, where needed, Oribrix Admin, with an outcome communicated within a review timeline that is to be confirmed.
- Refunds: issued to the original PhonePe payment method or as Oribrix account credit (where both are available), initiated within a number of business days that is to be confirmed. Refunds for orders paid using credit or payment terms are credited against your account balance.
- Partial returns: refunds are calculated only for affected line items.
- Disputes: if a Vendor disputes a return, Oribrix Admin makes the final decision based on evidence from both parties. Oribrix may withhold or adjust the related Vendor settlement pending resolution.
11
Vendor terms
In addition to the above, Vendors agree to:
- List only materials they are legally entitled to sell, with accurate descriptions, specifications, grades, pricing, and stock.
- Accept or reject Orders promptly and fulfil accepted Orders as confirmed.
- Pack materials appropriately and make them ready for Porter dispatch.
- Cooperate in return, refund, and dispute processes, and accept Oribrix Admin’s final decision on disputed returns.
- Comply with all applicable laws, including GST, product quality and standards, and consumer protection requirements.
- Maintain valid KYC documents and notify Oribrix of material changes.
Oribrix may suspend or delist Vendors or listings for repeated non-fulfilment, quality complaints, misrepresentation, or non-compliance.
12
Referral and promotions programs
Oribrix may operate referral programs, discounts, and promotions. Each is subject to the specific terms shown at the time of the offer. Oribrix may modify or end a program at any time and may withhold or reverse benefits where fraud, self-referral, or misuse is suspected. Referral and promotion rules are to be confirmed.
13
Notifications and communications
By using the Platform, you agree to receive order, dispatch, payment, and account notifications via SMS, email, WhatsApp, push, and in-app messages. Promotional communications are optional and you may withdraw consent for them at any time as described in the Privacy Policy.
14
Acceptable use
You agree not to:
- Provide false or misleading information, or impersonate another person or business.
- Use the Platform for unlawful purposes or to supply or purchase prohibited materials.
- Circumvent the Platform by diverting Orders, payments, or Vendor and Customer relationships formed through it in a way that breaches these Terms.
- Interfere with, probe, scrape, reverse-engineer, or attempt unauthorized access to the Platform or its systems.
- Abuse return, cancellation, refund, referral, or promotion mechanisms.
- Upload malicious code or content that infringes others’ rights.
15
Intellectual property
The Platform, including its software, design, trademarks, and content created by Oribrix, is owned by or licensed to Oribrix. You receive a limited, non-exclusive, non-transferable, revocable right to use the Platform for its intended purpose. Vendors grant Oribrix a non-exclusive license to display their names, logos, and product content on the Platform for the purpose of operating the marketplace. You retain ownership of the content you submit, such as RFQ attachments and documents.
16
Privacy and data protection
Your use of the Platform is governed by our Privacy Policy, which explains what we collect, how we use and share it (including with Vendors, Porter, PhonePe, Tally, and messaging providers), how long we retain it, and your rights under the DPDP Act, 2023. By using the Platform you acknowledge that you have read it.
17
Third-party services
The Platform integrates third-party services, including PhonePe for payments and Porter for logistics. These services are governed by their own terms and policies. Oribrix is not responsible for the acts or omissions of third parties outside its reasonable control, except as required by law.
18
Disclaimers
The Platform is provided on an “as is” and “as available” basis. To the extent permitted by law, Oribrix does not warrant that the Platform will be uninterrupted or error-free, or that Vendor-supplied materials will meet every specific requirement of your project. Customers remain responsible for confirming that materials are suitable for their intended structural, engineering, or regulatory use.
19
Limitation of liability
To the maximum extent permitted by applicable law, Oribrix’s total liability arising out of or relating to your use of the Platform or an Order will not exceed the amount paid by you for the affected Order (to be confirmed with legal). Oribrix is not liable for indirect, incidental, or consequential losses, including loss of profit, project delays, or site downtime, except where such liability cannot be excluded by law. Nothing in these Terms limits liability that cannot be limited under applicable consumer protection law.
20
Indemnity
You agree to indemnify and hold Oribrix harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, or content you submit that infringes third-party rights.
21
Suspension and termination
You may close your account at any time, subject to completing pending Orders and obligations. Oribrix may suspend or terminate access, restrict features (such as credit-term or cash-on-delivery ordering), or withhold pending settlements where there is a breach of these Terms, suspected fraud or misuse, or a legal requirement. Data retention after closure follows the Privacy Policy, including retention required for tax and legal compliance. Provisions that by nature should survive termination (including payment obligations, liability, indemnity, and dispute resolution) will survive.
22
Grievance redressal
If you have a complaint about the Platform, an Order, or your data, you may contact our Grievance Officer. The Grievance Officer’s name, designation, email and address are to be confirmed.
We will acknowledge and resolve complaints within timelines that are to be confirmed, in line with applicable law.
23
Governing law and dispute resolution
These Terms are governed by the laws of India. Disputes will first be addressed through good-faith discussion and the in-app and support channels described above. Unresolved disputes will be subject to arbitration seated in Lucknow under the Arbitration and Conciliation Act, 1996, or the exclusive jurisdiction of the courts at Lucknow — to be confirmed with legal. Nothing in this section limits any statutory right you have as a consumer.
24
Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Platform, and the “Last Updated” date above will be revised. Continued use of the Platform after changes take effect means you accept the updated Terms.
25
